| UPM and Myllykoski Group Consider Possible Transaction |

Helsinki, Finland, 28 September 2010 – UPM has confirmed that it is engaged in discussions with the Finnish publication paper company Myllykoski Group concerning a potential transaction of Myllykoski's operations in Finland, Germany, and United States.
At the present time, the discussions continue and a number of significant issues remain unresolved. Therefore, there can be no certainty that the discussions between UPM, Myllykoski, and its lenders will result in a transaction.
UPM will announce the result of the discussion if the discussions reach a conclusion where public disclosure is appropriate under applicable laws. UPM also will make an announcement if the discussions are terminated.
